The UK Stewardship Code


Climate Change Capital Limited ("CCC") manages equity investments, mainly held in Climate Change Capital Private Equity LP ("CPE") a private equity fund focused on investing in unquoted Cleantech companies, whose investors comprise a number of leading institutional investors including Alpinvest, Robeco, Universities Superannuation Scheme, Alliance Trust and HSBC.

In managing investments for CPE, CCC typically holds a director or observer seat on the Boards of the companies it invests in and enters into detailed shareholder agreements which provide significant protections for our Fund's interest in our portfolio companies.  We continually engage with companies regarding business and governance issues, both independently and through joint representations with other institutions.

CCC takes a similar approach in managing equity investments in our other funds or accounts. We believe our engagement activity is consistent with the principles of the UK Stewardship Code.

Pillar 3


The FSA framework consists of three Pillars:

1) Pillar 1 sets out the minimum capital amount that meets a firm's credit, market and operational risk;

2) Pillar 2 requires a firm to review and assess whether its Pillar 1 capital is adequate to meet its risks and is subject to annual review by the FSA; and

3) Pillar 3 requires disclosure of specified information about a firm's underlying risk management controls and capital position.
